1. Introduction

1.1 Welcome to the Universelle Shop platform (the "Platform"). Please read these Terms of Service carefully before using the Platform, opening a Universelle Shop account ("Account"), or establishing a Universelle Shop store ("Store"). These terms define your legal rights and obligations regarding your relationship with Universelle Shop (referred to individually and collectively as "Universelle Shop," "we," "us," or "our").

Our services include:

The Platform (including mobile applications);

Services provided via the Platform and related Universelle Shop client software;

All information, linked pages, features, data, text, images, video, and application services (the "Content").

Any new features or upgrades to the Service are also governed by these Terms.

1.2 Universelle Shop Policy: These include various terms and conditions applicable to sellers published on the Universelle Shop platform and updated periodically. This includes, but is not limited to, cross-border seller terms, privacy policies, prohibited goods policies, logistics terms, and Seller Center guidelines. Unless otherwise specified, definitions within the Universelle Shop Policy apply to these Terms.

1.3 Universelle Shop Platform refers to the websites and mobile shopping applications operated by Universelle Shop, including global shopping sites and mobile clients.

1.4 By using the Service or opening an Account/Store, you irrevocably accept and agree to these Terms of Service, including any additional policies linked herein. You are also required to comply with the specific terms of the regional site where your Store is located. In the event of a conflict between these Terms and the site-specific terms of the region where your Store operates, the regional terms shall prevail.

1.5 Service Scope: This Platform provides an online venue for sellers ("you" or "Seller") to trade goods. The actual contract of sale is strictly between the buyer and the seller. Universelle Shop is not a party to that contract and assumes no responsibility for obligations arising from it. Sellers assume full responsibility for product listings, purchase guarantees, and legal compliance. Universelle Shop does not participate in user-to-user transactions but reserves the right to pre-screen content and remove information in accordance with Clause 6.5.

1.6 Users must read and accept all terms herein, including the Privacy Policy regarding the processing of personal data, before using the Service.

1.7 Violation of these Terms or related policies may result in disciplinary action against your Account or Store, as described in Section 7.1.

2. Privacy
2.1 We take privacy seriously. Our Privacy Policy details how we collect and use the information provided when you use our Services. By using the Platform, you consent to Universelle Shop collecting and processing your information as described in that policy.

2.2 Users who handle the personal data of third parties ("Recipients") agree to:

Comply with all applicable data protection laws;

Allow individuals to request the removal of their data;

Allow individuals to review the data collected about them.

3. Limited License
3.1 Universelle Shop grants you a limited, revocable right to access and use the Service. All intellectual property on the Platform—including logos, trademarks, and brand names—is the property of Universelle Shop or third-party owners. You agree not to copy, modify, distribute, or sell any part of the Service or Content without prior written consent. The use of automated bots or spiders to monitor our content is strictly prohibited.

4. Software
Any software provided as part of the Services is governed by these Terms. Universelle Shop reserves all rights not expressly granted. Third-party scripts linked within the Service are licensed by their respective owners, not by Universelle Shop.

5. Accounts and Security
5.1 Registration requires a unique User ID and password. Universelle Shop reserves the right to suspend accounts with IDs deemed inappropriate or illegal. You are responsible for maintaining the confidentiality of your login credentials.

5.2 You agree to:

Keep your password confidential;

Log out at the end of each session;

Immediately notify Universelle Shop of unauthorized access at support@universelleshp.com;

Maintain accurate account information.

5.3 Universelle Shop reserves the right to verify your identity and contact information. Failure to provide valid information may result in a refusal of service.

5.4 Account Management: We reserve the right to terminate accounts for reasons including, but not limited to:

Inactivity for more than 30 days;

Violation of these Terms;

Fraudulent or illegal behavior;

Infringement of intellectual property;

Harm to the commercial interests of Universelle Shop.

5.5 Users whose accounts are closed for serious violations are prohibited from re-registering.

5.6 You may terminate your account at any time by contacting support@universelleshp.com. You remain responsible for completing any outstanding transactions or obligations initiated before termination.

6. Seller Commitments and Warranties
6.1 You warrant that you have the legal authority to sell the products listed and that they:

Are brand new, authentic, and legally sourced;

Match the descriptions, samples, and standards provided on the Platform;

Are safe and compliant with environmental and safety regulations;

Do not infringe upon the intellectual property rights of any third party.

6.2 Operational Commitments:

You grant Universelle Shop a non-exclusive, royalty-free license to use your product information for marketing and promotional purposes.

You agree to protect consumer data and use buyer information only for the purpose of fulfilling orders.

You must describe products truthfully and fulfill all obligations regarding information disclosure.

You warrant that all qualification documents provided to Universelle Shop are authentic and valid.

6.3 Prohibited Conduct: You agree not to upload harmful or illegal content, impersonate others, manipulate prices, circumvent security measures, or use automated systems to access the Platform.

7. Violations and Disciplinary Actions
7.1 Violations may result in:

Written warnings;

Removal of product listings;

Account restriction or fund freezing;

Cancellation of subsidies;

Legal proceedings or civil claims.

8. Intellectual Property Infringement
8.1 Universelle Shop is a neutral venue and does not own the merchandise posted by sellers.

8.2 Rights owners ("IP Owners") who believe their rights are being infringed may submit a formal notice to support@universelleshp.com.

8.3 Upon receiving a valid notice, Universelle Shop will take necessary measures, including removing the infringing content and notifying the affected Seller.

9. Universelle Shop Performance Guarantee
9.1 To protect buyers and sellers, Universelle Shop may hold order payments in a dedicated Guarantee Account. These funds are released to the Seller only after the buyer confirms receipt or the guarantee period expires.

9.2 Release Schedule: Payments are typically released within 1 day after the buyer confirms the order.

10. Shipping and Delivery
10.1 Sellers must arrange delivery promptly upon receiving an order notification.

10.2 Sellers are responsible for risks associated with delivery. We recommend purchasing insurance for high-value items.

11. Seller Responsibilities & Quality Standards
11.1 Pricing: Sellers have discretion over pricing but must ensure reasonable markups (maximum 30%). 11.2 Inventory: A minimum of 10 active products must be maintained on the shelves. 11.3 Commitment: New sellers must remain active for at least 1 month. 11.4 Fulfillment: Orders must be processed within 72 hours. 11.5 Returns: Sellers must honor a 7-day return policy to protect consumer interests.

12. Fees and Payments
12.1 Transaction Fees: Fees are paid to third-party clearing providers and are subject to change based on regional financial policies. 12.2 Commissions: Universelle Shop collects commissions as outlined in the Seller Center. 12.3 Withdrawals: The minimum withdrawal amount is $50.

13. Marketing Services
13.1 Sellers may purchase marketing services (ads, influencer marketing, traffic packages). Once purchased, these fees are generally non-refundable. Universelle Shop does not guarantee a specific increase in sales from these services.

14. Dispute Resolution
14.1 We encourage friendly negotiation between buyers and sellers. Users agree to release Universelle Shop from claims arising from individual transactions.

We welcome suggestions at support@universelleshp.com. Please provide constructive, non-anonymous feedback.

16. Disclaimer of Warranties
The Service is provided "as-is." Universelle Shop makes no warranties regarding the uninterrupted availability, security, or error-free nature of the Platform.

17. Limitation of Liability
To the fullest extent permitted by law, Universelle Shop shall not be liable for lost profits, loss of data, or any indirect or consequential damages arising from the use of the Platform.

18. Anti-Corruption and Ethics
18.1 Users must comply with all anti-corruption laws. 18.2 Bribery of Universelle Shop employees is strictly prohibited. Any attempt to provide improper benefits (cash, gifts, travel) will result in a permanent ban and a penalty of RMB 50,000. 18.3 Report solicitation of bribes to support@universelleshp.com.
